4. Professional Services

4.1 Service Agreements

Our IT consulting, technology, and professional services are governed by separate written agreements (such as Master Service Agreements, Statements of Work, Professional Services Agreements, or Consulting Agreements) executed between Raindrops Technology and the client. These Terms do not constitute a service agreement or create any obligation for us to provide services.

4.2 No Guarantee of Results

While we strive to deliver high-quality services, the nature of IT consulting and technology services involves inherent risks and uncertainties. We do not guarantee specific outcomes, results, or timelines unless explicitly stated in a written service agreement. Technology implementations may be affected by factors beyond our control, including third-party software, hardware, network conditions, client infrastructure, evolving regulatory requirements, and changing business requirements.

4.3 AI and Machine Learning Disclaimers

Given the nature of our AI and machine learning services, clients acknowledge and agree that:

  • AI outputs are probabilistic: AI and machine learning models produce outputs based on statistical patterns and probabilities. Outputs may not always be accurate, complete, or suitable for every use case. Human oversight and validation of AI-generated outputs is recommended.
  • Model performance may vary: The performance of AI models depends on the quality, quantity, and representativeness of training data and may degrade over time due to data drift, changes in underlying patterns, or evolving conditions.
  • No guarantee of bias-free outputs: Despite best efforts to mitigate bias, AI systems may reflect biases present in training data or algorithmic design. We work with clients to identify and address potential biases, but cannot guarantee the complete absence of bias.
  • Client data responsibility: Clients are responsible for ensuring they have the legal right to use data provided for AI model training, testing, and deployment, and that such use complies with applicable privacy laws and regulations.
  • Regulatory compliance: Clients in regulated industries (such as healthcare, financial services, and government) are responsible for ensuring that their use of AI-generated outputs complies with applicable industry regulations. Raindrops Technology will assist with compliance efforts as specified in service agreements but does not assume regulatory liability for client decisions based on AI outputs.
  • No AI in recruitment: Raindrops Technology does not utilize Artificial Intelligence (AI) or Automated Decision-Making Systems (ADS) to screen, evaluate, score, or make hiring decisions regarding employment or contractor applications. Our recruitment process is entirely human-led, relying on direct referrals, professional networks, and manual review by qualified hiring personnel. This commitment applies to all stages of the hiring process, including resume screening, candidate assessment, and final selection, in compliance with applicable federal and state laws governing the use of AI in employment decisions.

4.4 Client Responsibilities

Clients engaging our services are responsible for:

  • Providing accurate, complete, and timely information necessary for service delivery
  • Ensuring appropriate access to systems, environments, and personnel as required
  • Reviewing and accepting deliverables in accordance with agreed timelines
  • Maintaining adequate backups of data and systems
  • Complying with applicable laws and regulations related to their use of our services and deliverables
  • Obtaining and maintaining all necessary rights, licenses, and consents for data provided to us for processing

4.5 Industry-Specific Compliance

When providing services to clients in regulated industries, additional compliance requirements may apply:

  • Healthcare (HIPAA): For engagements involving protected health information (PHI), we will execute a Business Associate Agreement (BAA) and comply with applicable HIPAA Security Rule and Privacy Rule requirements.
  • Financial Services: For engagements involving financial data, we will comply with applicable security and data handling requirements as specified in service agreements, including SOC 2 and relevant financial industry regulations.
  • Government: For government engagements, we will comply with applicable federal and state procurement regulations, security clearance requirements, and data handling standards.

Specific compliance obligations shall be documented in the applicable service agreement.

4.6 Staffing and Resource Augmentation

For IT staffing and resource augmentation engagements:

  • Resources provided by Raindrops Technology remain our employees or contractors.
  • Clients shall not solicit or hire our resources directly during the engagement and for a period specified in the applicable service agreement (typically twelve (12) months) after the engagement ends, without prior written consent and payment of applicable fees.
  • We will use commercially reasonable efforts to provide qualified resources but do not guarantee the continuous availability of specific individuals.

4.7 Equal Opportunity Employment and E-Verify

Raindrops Technology Corporation is an Equal Opportunity Employer and a participant in the federal E-Verify program. We are committed to providing equal employment opportunities to all individuals regardless of race, color, religion, sex, sexual orientation, gender identity, national origin, age, disability, veteran status, or any other characteristic protected by applicable federal, state, or local law.

Unless both you and Raindrops Technology agree otherwise, no arbitrator or judge may consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding.

11. Non-Solicitation

During the term of any engagement and for a period of twelve (12) months following the completion or termination of any engagement, neither party shall, directly or indirectly, solicit, recruit, or hire (or attempt to solicit, recruit, or hire) any employee, contractor, or consultant of the other party who was involved in the performance of services under the engagement, or any personnel identified through the Website’s “About Us” or “Insights” pages (including but not limited to team members, leadership, contributors, or authors featured therein), without the prior written consent of the other party and payment of a mutually agreed placement fee.

This non-solicitation obligation extends to any contact initiated as a result of information obtained through the Website, including professional profiles, team bios, authored content, or any other identifying information displayed on the Website. This provision shall not restrict either party from hiring individuals who respond to general public advertisements or job postings not specifically targeted at the other party’s personnel.

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or modified to the minimum extent necessary so that the remaining provisions of these Terms will continue in full force and effect.

16. Waiver

No waiver by Raindrops Technology of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Raindrops Technology to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
